Service Terms / Client Agreement
These terms cover all paid Services from QuantumTask and sit alongside the Website Terms and Privacy Policy. If they differ from marketing copy, these Service Terms win.
1. Definitions
- Company: QuantumTask (trading name), Gauteng, South Africa. Contact: daniel@quantumtask.io; Phone: [insert phone]; registered name/number available on request.
- Client: The person or entity buying the Services.
- Services: Web design, build, and related support described in your package or quote.
- Deliverables: The website files, layouts, and assets we produce for you.
- Business Day: Monday to Friday, 09:00–17:00 SAST, excluding South African public holidays.
- Revision Round: One consolidated set of feedback at a time; split feedback counts as extra rounds.
- Change Request: New pages/sections/features, redesigns, strategy changes, or integrations not already in scope.
- Go-Live: When Deliverables are deployed to the agreed production URL/hosting or handed over for your deployment.
- Page: One scrolling page or unique URL with up to ~6 standard sections (e.g., hero, services, proof, FAQ, contact). Longer or extra sections may be billed as additional pages.
- Small Change: Minor updates such as text edits (up to ~200 words), swapping 1–3 images, updating hours/prices, changing a CTA/link, or light styling tweaks within existing components. New sections/pages or redesigns are not Small Changes.
2. Scope and deliverables
One-Page Launch (R949)
- One high-conversion landing page (as defined above) with clear CTAs, services, proof, FAQ, and contact/WhatsApp links.
- Not included: hosting/domain fees, paid ads, SEO campaigns, or ongoing edits after handoff.
Full Site Build (R2499)
- Up to 6 Pages (unique URLs or major long-scroll sections). Typical mix: Home, Services, About/Proof, FAQs, Contact, optional Service Area/Offer pages.
- Additional pages beyond 6 or substantial new sections are quoted separately.
Ongoing Care (R249/month)
- Up to 5 Small Changes per month as defined above.
- Excludes new pages, structural redesigns, new features/integrations, or campaign landing pages; these require a Change Request and separate approval.
3. Client responsibilities
- Provide required inputs: logo/branding, services list, service areas, contact details, hosting access (if applicable), photos, and any regulatory wording or claims (e.g., COC/licensing notes).
- Warrant that supplied content and assets are accurate and that you have rights to use them.
- Confirm that any claims you provide (licences, guarantees, pricing) are lawful and correct; the Company is not responsible for inaccurate or non-compliant Client content.
4. Timeline and approvals
- “48-hour launch” (One-Page/Full Site) starts only after all required assets are in, hosting access is ready or chosen, and the first Revision Round feedback arrives within the requested window.
- Hours: Mon–Fri, 09:00–17:00 SAST. We reply to project messages within 1 Business Day.
- If the Client is silent for 5+ Business Days, the project pauses and a new timeline/slot may be set.
5. Revisions and Change Requests
- Two Revision Rounds are included for One-Page and Full Site builds. Typical revisions: copy tweaks, minor layout adjustments, swapping provided images.
- Change Requests (new sections/pages/features, redesigns, new integrations, strategy changes) require written approval, timeline adjustment, and extra fees before work starts.
6. Payment terms
- 50% deposit to start; 50% due at Go-Live. Currency: ZAR.
- No launch, file handover, DNS switch, or transfer of ownership until full payment clears.
- Late payments may pause work and may incur reasonable interest/collection fees as permitted by law.
7. Refunds and cancellation
- Deposit becomes non-refundable once any design, copy, or development work begins.
- If the Client cancels, fees for work completed (including time spent) are payable; completed work is delivered after payment.
- If the Company cancels, unused fees for undelivered work are refunded.
- Cooling-off: within 24 hours of deposit and before work starts, the Client may cancel for a refund minus reasonable bank/processing fees.
8. Ownership and intellectual property
- Ownership of the specific Deliverables transfers to the Client after full payment.
- The Company retains rights to underlying frameworks, templates, and reusable components.
- Portfolio rights: the Company may showcase screenshots/links unless the Client requests confidentiality/NDA in writing.
- Third-party assets (fonts, icons, stock, scripts) remain under their respective licences; the Client may need ongoing subscriptions.
9. Hosting, domain, and third-party services
- Hosting/domain are not included unless explicitly quoted. If the Client provides hosting, performance depends on that environment.
- The Company is not liable for outages, price changes, throttling, or other issues caused by third-party providers.
10. 90+ PageSpeed Guarantee (homepage only)
- Tool & mode: Google PageSpeed Insights, Mobile mode.
- Target: Performance score 90 or higher for the homepage at Go-Live on the agreed production hosting.
- Conditions: Uses the Company’s optimized assets; only agreed third-party scripts; client-provided hosting must allow basic caching/compression; Client provides timely access/approvals for optimisation. Measurement occurs within 3 Business Days of Go-Live and after DNS/SSL propagation.
- Exclusions: Later Client additions (pixels/chat widgets, heavy embeds, large/uncompressed images, new fonts/plugins), hosting slowdowns/outages/CDN misconfiguration, or third-party script variance.
- Remedy: We will run an optimisation pass (compress/resize images, lazy-load media, minify/defer CSS/JS, inline critical CSS, trim fonts/icons, enable caching/HTTP compression where access allows). If after these steps and required Client cooperation the score is still under 90 because of factors outside our control, the obligation is met. No guarantee of traffic, rankings, or leads.
11. SEO and marketing disclaimer
We provide basic on-page setup (titles/meta/structured content where applicable). No guarantees of rankings, traffic, or revenue.
12. Warranty and support
Fourteen (14) day defect-fix window after Go-Live for issues we caused. After that, fixes/edits fall under the Care plan or separate hourly/project fees.
13. Limitation of liability and indemnity
- Liability is capped at the fees paid for the specific project (or, for Care, fees paid in the last 3 months), to the extent permitted by law.
- No liability for indirect, consequential, or special damages (including loss of profits, revenue, or business opportunities).
- The Client indemnifies the Company against claims, losses, or costs arising from Client-supplied content, instructions, or misuse of the Deliverables.
14. Data protection and communications (POPIA)
- The Company processes personal data as described in the Privacy Policy and for delivering the Services.
- The Client consents to being contacted by email/WhatsApp/phone for quotes, project updates, and support.
- The Client confirms any personal data they supply has been collected lawfully and that they have the right to share it.
15. Governing law and jurisdiction
These Service Terms are governed by South African law. Gauteng (Johannesburg) courts have exclusive jurisdiction.
